End User Licence Agreement

1.1 You accept this Licence by installing, copying, or using the Software.

1.2 If you do not accept it, do not install the Software, and remove any copy you already have.

1.3 If you accept on behalf of an organisation, you confirm you have authority to bind it, and “you” means that organisation.

2.1 Subject to this Licence and to payment of the applicable fees, we grant you a non-exclusive, non-transferable, non-sublicensable, revocable licence to install and use the Software.

2.2 Per-user seat. A paid licence is granted per named individual, not per machine and not per role. A seat may be reassigned when a person leaves your organisation. A seat may not be rotated between people to serve more users than you have paid for.

2.3 Devices. Each licensed user may install and activate the Software on a limited number of devices they personally use. Additional devices require additional seats or an Enterprise arrangement. The number of devices per seat is not stated in this draft.

2.4 Virtual machines and shared hosts. Installing the Software in a VM or container that a single licensed user operates is allowed and counts as a device. Installing it on a shared host that multiple people sign in to requires a seat per person.

2.5 Backup copy. You may keep one copy of the installer for backup and re-installation.

2.6 Internal use. The Software is licensed for your own internal use: personal or business. Providing the Software as a service to third parties requires a written agreement with us.

2.7 Licence enforcement, device binding, and seat counting are performed by the account service. The capabilities listed in section 4.2, which remain available without a subscription, perform no licence check of any kind.

3.1 You may not:

1. reverse engineer, decompile, disassemble, or attempt to derive the source code of the Software, except to the extent that applicable law expressly permits it despite this restriction, and then only after asking us in writing for the information you need;
2. redistribute, publish, sell, rent, lease, lend, sublicense, host, or otherwise make the Software available to a third party;
3. remove, obscure, or alter any notice (copyright, trade mark, licence, attribution, or third-party notice) in the Software, its installers, or its documentation;
4. modify, adapt, translate, or create derivative works of the Software;
5. circumvent, disable, or interfere with licence enforcement, seat limits, device binding, or signature verification;
6. use the Software to build a competing product, or benchmark it for publication without giving us the methodology and a right of reply;
7. use the Software in breach of the Acceptable Use Policy or of applicable law.

3.2 Where local law grants you a right that section 3.1 purports to remove (for example interoperability rights under Directive 2009/24/EC or its national implementations) that right is unaffected.

3.3 Breaching section 3.1 terminates this Licence immediately.

4.1 GitAegis is licensed software. Using it requires a trial or a subscription, described in sections 5 and 6. This section describes what the Software does when you have neither: before a trial, after one ends, and after a subscription ends.

4.2 In that state the Software continues, for as long as you keep it installed and free of charge, to open your repositories, show their history and their changes, undo an operation it performed, restore a recovery capsule, recover lost work, run essential repairs, and export your data. These are granted in perpetuity and are not conditional on payment.

4.3 What it does not do in that state is make new work: committing, staging, branching, merging, fetching, pushing and the other capabilities listed on the Pricing page require an active trial or subscription.

4.4 The capabilities in 4.2 do not consult a licence server and are not withdrawn by one being unreachable. The requests the Software does make are described in the Privacy Policy §2: an update check carrying no identifier, the account gateway when you are signed in, and an AI commit report when you ask for one.

4.5 When a trial or a subscription ends, GitAegis does not lock you out of your own work. Section 4.2 is what that means in practice, and it is a term of this Licence rather than a courtesy: those capabilities do not consult an entitlement service, so neither a lapsed payment nor an unreachable server can take them away.

4.6 We may change what a plan includes for future releases. A version you have already installed continues to work under the licence it shipped under; we do not disable installed builds.

5.1 Paid capability may be made available on trial for the period stated on the Pricing page, without a payment card.

5.2 When the trial ends, the Software continues under section 4: your repositories still open and your work stays reachable, and the capabilities a subscription pays for stop. No charge is taken and no card is required.

5.3 A trial is provided with the same warranty position as a paid subscription: see section 10.

5.4 Trial licences are for evaluation. They are granted per person and may not be re-taken repeatedly to avoid paying.

5.5 Data created during a trial stays on your disk. Cloud-only data created during a trial is retained and deleted per Privacy Policy §7. Local capsule and Flight Recorder retention stops being extended, which means entries beyond what is already on disk stop being added. What has been captured stays where it is, and stays restorable.

6.1 The Software checks for updates and never installs one without you. It reads a release manifest we publish, 30 seconds after launch and then once a day, and tells you when a newer build exists. Installation happens only when you choose it. There is no staged rollout and no rollback-from-update mechanism.

6.2 Releases are code-signed, and an update archive must carry a valid signature against a key contained in the Software before it is installed. You may also verify the signature of a build yourself before you install it.

6.3 An update is licensed under this Licence unless it is accompanied by different terms, in which case those terms govern that update.

6.4 We are not obliged to provide updates, support, or new versions except as stated in your plan and on the Support page.

6.5 We may end support for an operating system version that its own vendor no longer supports. The minimum supported macOS version is stated on the System requirements page.

7.1 The Software includes third-party open-source components, each licensed under its own terms.

7.2 The complete list of components, versions, licences, and required attributions is in the in-app THIRD-PARTY-NOTICES document, reachable from the application’s About panel and shipped with every build.

7.3 Where an open-source licence grants you rights that exceed this Licence for that component, those rights apply to that component and this Licence does not restrict them.

7.4 Where a component is licensed under terms requiring us to offer source code, that offer is made in the THIRD-PARTY-NOTICES document.

7.5 Git itself is not included, bundled, or distributed with the Software. See section 8.

8.1 The Software requires Git 2.38.0 or newer, already installed on your machine. GitAegis never bundles, downloads, or installs Git, and is not licensed to you as a distribution of Git.

8.2 The Software uses your operating system’s keychain and your own SSH keys. It does not create, replace, or export your keys.

8.3 The Software never runs external diff or merge tools, in any mode.

8.4 Git subprocesses are launched with GIT_CONFIG_* pinned and GIT_TERMINAL_PROMPT=0. In Safe Mode, core.hooksPath=/dev/null is additionally pinned, which means your repository hooks do not run while Safe Mode is active.

8.5 You are responsible for the machine the Software runs on, including its backups, disk health, and security.

9.1 The Software is licensed, not sold. We and our licensors retain all right, title, and interest in it, including all intellectual property rights.

9.2 You own your code, your repositories, and your capsules. Nothing in this Licence gives us any interest in them. Local capsules never leave your device unless you enable cloud backup under a paid plan, and if you do, they are encrypted on your device before upload: see Privacy Policy §5.

9.3 All rights not expressly granted are reserved.

10.1 GitAegis provides recovery capabilities. It does not guarantee the recovery of all work.

10.2 The following limitation of warranty is stated verbatim and is a defining term of this Licence:

10.3 We warrant no recovery outside that boundary, and we make no warranty that any particular piece of work will be recoverable in any particular circumstance.

10.4 Known limits within the boundary, stated here rather than in a footnote:

• rebase state is not restored from a capsule;
• Git configuration is not restored from a capsule: it is captured as evidence only;
• .gitattributes content filters cannot be wholesale disabled;
• bisect and a conflicted stash apply have no generic resume.

10.5 The Software is not a backup product and is not a substitute for backups. It captures state before the operations it performs and records what it observes. It does not protect against disk failure, device loss, theft, ransomware, filesystem corruption, deletion of the repository itself, or destructive actions taken outside GitAegis that leave no recoverable reference. Keep independent backups and keep your work pushed to a remote.

10.6 The Software never runs gc, prune, or reflog expiry: those operations are not implemented. Other tools on your machine, and your Git host, may run them, and that can remove objects the Software would otherwise have found.

10.7 Subject to sections 10.1 to 10.6, and to the fullest extent permitted by law, the Software is provided “as is”, without warranty of any kind, express, implied, or statutory, including any implied warranty of merchantability, fitness for a particular purpose, title, quiet enjoyment, or non-infringement, and without any warranty that operation will be uninterrupted or error-free.

10.8 Some jurisdictions do not allow the exclusion of implied warranties, or limit the duration of statutory warranties. Where that is so, the exclusions above apply only to the extent permitted, and your statutory consumer rights are not affected.

11.1 To the fullest extent permitted by law, we are not liable for indirect, incidental, special, consequential, punitive, or exemplary damages, or for lost profits, lost revenue, business interruption, or lost or corrupted data or code, arising out of or relating to the Software.

11.2 For a paid licence, our total aggregate liability is limited to the fees you paid for the Software in the twelve months before the event giving rise to the claim.

11.3 A separate cap for use under section 4, where no fee is paid, is a figure this draft does not state. It is settled with counsel before this Licence takes effect.

11.4 Nothing here excludes liability for death or personal injury caused by negligence, for fraud, or for any other liability that cannot lawfully be excluded.

11.5 These limits are an essential part of the bargain, and the price of the Software reflects them.

12.1 This Licence starts when you install the Software and continues until terminated.

12.2 It terminates automatically if you breach section 3, and it terminates for a paid edition when the corresponding subscription ends or is terminated under the Terms of Service.

12.3 You may terminate at any time by uninstalling the Software and destroying your copies.

12.4 On termination of a paid licence, the Software continues under section 4: your repositories still open, and history, undo, capsule restore and export keep working.

12.5 On termination for breach of section 3, you must stop using the Software and remove all copies.

12.6 Sections 3, 9, 10, 11, 13, 14, 15 and 16 survive termination.

13.1 The Software is “commercial computer software” and its documentation is “commercial computer software documentation” as those terms are used in FAR 12.212 and DFARS 227.7202.

13.2 If acquired by or on behalf of any agency or instrumentality of the United States Government, the Software and its documentation are licensed with only those rights set out in this Licence, in accordance with FAR 12.212 and DFARS 227.7202-1 through 227.7202-4, as applicable.

13.3 Use, duplication, or disclosure by the US Government is subject to the restrictions in this Licence. Any provision of this Licence inconsistent with federal procurement regulations is unenforceable against the US Government only to that extent.

13.4 The contractor and manufacturer is Fahid Digital Ventures LLC. Its address is not published in this draft.

14.1 The Software is subject to export control and sanctions laws, including those of the United States.

14.2 You confirm that you are not located in, ordinarily resident in, or organised under the laws of a comprehensively sanctioned country or region, and that you are not on a restricted party list maintained by an applicable authority.

14.3 You will not export, re-export, or make the Software available in breach of those laws, and will not use it for any prohibited end use.

15.1 The governing law for this Licence is not stated in this draft. It is settled with counsel before the Licence takes effect, and the same choice governs the Terms of Service.

15.2 The UN Convention on Contracts for the International Sale of Goods does not apply.

15.3 Disputes are resolved as set out in Terms of Service §16, with the exceptions stated there.

15.4 Where you are a consumer and mandatory law gives you the protection of the law or courts of your country of residence, that protection is unaffected.

16.1 Entire agreement. This Licence, together with the Terms of Service, the Acceptable Use Policy, and the Privacy Policy, is the entire agreement on this subject.

16.2 Severability. An unenforceable provision is modified to the minimum extent needed, and the rest stands.

16.3 Assignment. You may not assign this Licence without our written consent, except to a successor of your business. We may assign it to an affiliate or successor.

16.4 Changes. We may issue revised terms with a new version of the Software. The terms you accepted for an installed version continue to govern that version.
